Welcome to Avalon Psychotherapy Associates, LLC (Avalon)! We offer our websites and services to you conditioned on your acceptance without modification of the terms, conditions, and notices contained within these Terms and Conditions as well as in our Privacy Policy (together known as the “Terms”). Our services encompass any and all of our websites, including but not limited to its main website, AVALONHEALERS.COM (the Website), all other associated websites and pages, on-line tools, patient portals, including without limitation, all content, materials, information, policies and modifications, updates, enhancements, revisions, new features, and or new web properties of such pages, along with any service provided through such web pages (the “Services”).
These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Avalon (also referred to as “we” or “us” within these Terms), just the same as a paper contract signed by you and us would, concerning your access and to and use of this website. Please read these Terms, including our Privacy Policy, carefully before using the Services; you are encouraged to bookmark or otherwise keep a copy of the Terms for your reference.
We are committed to protecting your privacy and security and have explained in detail the steps we take to do so within our Privacy Policy. You are again encouraged to review the Privacy Policy.

HIPAA PROVISIONS.
We are subject to both the provisions of Maryland law as well as a federal law known as the Health Insurance Portability and Accountability Act, or HIPAA, called “covered entities” under HIPAA. Important information about how those entities use and disclose your personally identifiable medical information, such as information about your medical treatment, your health conditions, and your insurance coverage, called “protected health information”, is contained in our Privacy Policy.
AVALON’S PURPOSE.
The purpose of our Website and our Services is to provide materials, services and products, including but not limited to: information, documents, forms, services, products, workshops. This also includes Psychotherapy, Support and Coaching Groups, Professional Coaching (for non-therapy clients), and Clinical Supervision, as well as Workshops and Public Speaking engagements. It is important to note that this applies to the Website and all other associated websites and webpages, as well as all therapy and coaching programs, and any products and services provided or sold by us. These Terms do not apply to any other business entity outside of Avalon Psychotherapy Associates, LLC.
MODIFICATION OF TERMS OF SERVICE.
It is your responsibility to regularly review the Terms contained here as well as our Privacy Policy in case of any modifications, including additions, to the policy. We reserve the right, at our sole discretion, to change, modify, add, remove or terminate any portion of the Services, the Services and these Terms, in whole or in part, at any time, without prior notice.
All such modifications are effective immediately upon being posted. The Effective Date of these Terms is set forth at the end of the Terms, below. Accessing and/or using the Website or any other websites or our Services following any modifications to the Terms listed here or in our Privacy Policy will constitute your binding agreement that you understand and accept the modifications, effective as of the date of posting, whether or not you have reviewed the modifications.
ELIGIBILITY For Use of Avalon Services.
You acknowledge that you are sixteen (16) years of age or older. Please note that Avalon’s Services are not geared to anyone under the age of sixteen (16) without the guidance and consent of a parent or guardian.
Avalon is committed to protecting the online privacy of children and we work to comply at a minimum, with the Children’s Online Privacy Protection Act of 1998, U.S.C. §§ 6501–6506. (”COPPA”). Those under the age of sixteen (16) should not visit or otherwise use the Services on their own behalf without the guidance and consent of a parent or guardian.

Persons duly authorized by us may access any page or data of the Website as well as any other Avalon webpages and such persons are bound by written confidentiality agreements or equivalent Avalon policies to keep nonpublic information confidential.
We may terminate your access to our websites and our Services or any part of them at any time with or without notice, at our sole discretion.
INFORMATION NOT GUARANTEED TO BE RELIABLE.
The information featured on any of our websites and/or provided in our Services comes from a variety of sources and includes information that is subject to change without notice. AVALON AND SOCIAL MEDIA.
By interacting with Avalon Psychotherapy Associates, LLC on social media (including but not limited to, Facebook, Twitter, YouTube), you acknowledge and agree that you may be voluntarily sharing aspects of your personal health information on a public forum. Federal and state laws protecting the privacy of your personal health information may not be applicable. Questions about medical concerns must be answered by your physician or other licensed health care providers. We will not respond to specific individual inquiries regarding a medical condition or disease via social media. Any information you receive through social media sites does not constitute psychotherapy or medical advice or recommendations, diagnosis, treatment or cure.
TESTIMONIALS.
It is important to note that any kind words or testimonials you read on any of our websites, blogs, social media accounts, or anywhere else, is used for illustration only. The testimonials and kind words are unique to each client. Kind words and testimonials are not solicited, and each client or colleague has approved these testimonials for our website, blog, social media, product or services, but they are not intended to represent or guarantee that current or future clients will achieve the same or similar results
OWNERSHIP AND OTHER INTELLECTUAL PROPERTY RIGHTS.
The Website and all other Avalon webpages, as well as all Services are the exclusive property of Avalon, including any logos. In the event you establish an Account and receive or establish a password for such Account, you are responsible for maintaining the confidentiality of your Account and password and for restricting access to your computer. INDEMNIFICATION.
You agree that you will indemnify, defend (or settle) and hold harmless Avalon Psychotherapy Associates, LLC (specifically including its officers, directors, agents, employees, contractors, affiliates, and related parties (collectively, “Avalon Psychotherapy Associates, LLC Indemnitees”)) from all claims, actions, proceedings, losses, settlements, judgments, liabilities, suits, damages, disputes or demands, including without limitation any proceeding, investigation or claim by a self-regulatory organization, state or federal agencies or commission, and including reasonable attorney’s fees and all other costs, fees, and expenses (collectively, “Claims”) against any of Avalon Psychotherapy Associates, LLC Indemnitees to the fullest extent permitted by law arising out of or in connection with (1) your access to or use of any of our websites or Services, or such actions by any third party through you; (2) your violation of the rights of another person or party through or related to our websites and Services or such actions by any third party through you; (3) any materials made available by you to Avalon Psychotherapy Associates, LLC through or related to our websites or our Services; and (4) any breach or violation by you of your obligations under these Terms or such breach or violation by any third party through you. In connection with any Claims that may give rise to your indemnification obligations as set forth above, Avalon Psychotherapy Associates, LLC Indemnitees shall have the exclusive right, at their option, to defend, compromise and/or settle the suit, action or proceeding at your expense, and you shall be bound by the determination of any suit, action or proceeding so defended or any compromise or settlement so effected. You will not compromise or settle any indemnified claim without our prior written consent. The remedies provided in this Section are not exclusive of and do not limit any other remedies that may be available to Avalon Psychotherapy Associates, LLC pursuant to these Terms.
FULL AND COMPLETE AGREEMENT REGARDING WEBSITE.
These Terms and our Privacy Policy contain the entire agreement between you and us with respect to any of our websites, Services, and any other related materials. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Avalon Psychotherapy Associates, LLC with respect to the above. Any rights not expressly granted herein are reserved. A printed version of these Terms shall be admissible in judicial or administrative proceedings based upon or relating to these Terms or our Privacy Policy to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

We do not waive any power or right under this agreement even if we don’t always insist on strict compliance with any of these terms and conditions, or if we delay or fail to exercise any power or right given to us in this agreement.
All rights and remedies given to Avalon Psychotherapy Associates, LLC in these Terms or within our Privacy Policy are cumulative and not exclusive of any other rights or remedies which we nay otherwise have at law or equity.
These Terms and our Privacy Policy shall be binding upon you and your executors, heirs, successors and assigns.
These Terms and our Privacy Policy and your rights and obligations here under may not be assigned by you without our prior written permission and shall inure to the benefit of Avalon Psychotherapy Associates, LLC’s successors and assigns whether by merger, consolidation or otherwise. We may assign this agreement or any of its rights or obligations under these terms and conditions.
Any cause of action you may have with respect to your use of any of our websites must be commenced within one (1) year after the claim or cause of action arises. If for any reason a court of competent jurisdiction finds any provision of our Terms and our Privacy Policy to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of these Terms as well as our Privacy Policy and the remainder of both shall continue in full force and effect. A printed version of both these Terms and the Privacy Policy shall be admissible in judicial or administrative proceedings.
CHOICE OF LAW AND PERSONAL JURISDICTION; waiver of JURY TRIAL.
This website is created and controlled by us in the State of Maryland, U.S.A. The laws of the State of Maryland govern any disputes between you and us arising in connection with this agreement, without giving effect to any principles of conflicts of laws.
SOLE AND EXCLUSIVE JURISDICTION FOR ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE IN AN APPROPRIATE STATE OR FEDERAL COURT WITH JURISDICTION OVER THE COUNTY OF BALTIMORE, STATE OF MARYLAND AND THE PARTIES UNCONDITIONALLY WAIVE THEIR RESPECTIVE RIGHTS TO A JURY TRIAL.

Notices to us under these Terms or regarding our Privacy Policy shall be sufficient only if in writing and delivered by a major commercial rapid delivery courier service, or mailed, postage or charges prepaid, by certified or registered mail, return receipt requested to Avalon Psychotherapy Associates, LLC, to the attention of Karen J. Helfrich, LCSW-C, at the following address with such notices being effective as of the date of actual, confirmed receipt by Avalon Psychotherapy Associates, LLC:
